Based in our Los Angeles, Century City, Orange County, Palo Alto, San Francisco, or Denver office, the Senior Corporate Paralegal will be responsible for providing comprehensive legal and administrative support for corporate transactions, including drafting and managing corporate documents, conducting due diligence, coordinating filings, leveraging AI tools, and assisting with transaction closings and post-closing requirements. The Senior Corporate Paralegal may also provide transactional support across the Emerging Companies, Technology Transactions, Mergers & Acquisitions, Private Equity, Finance, and Capital Markets practice areas, collaborating with attorneys and team members on a wide range of complex matters.

This role reports to the U.S. Transactional Paralegal Supervisor.

Responsibilities include:

  • Preparing and updating working group lists.
  • Maintaining and updating forms of due diligence request lists and diligence call agendas.
  • Coordinating UCC, tax lien, judgment, litigation, and bankruptcy searches and preparing summaries of results.
  • Leveraging AI tools such as KIRA and Harvey to prepare diligence matrices for common corporate documents (e.g., customer and supplier agreements, lease agreements, etc.).
  • Preparing “shell” disclosure schedules for sell-side transactions and lower middle-market, buy-side transactions.
  • Preparing initial drafts of corporate organizational documents and coordinating filings where necessary.
  • Drafting stock certificates, stock ledgers, and capitalization tables for corporations.
  • Coordinating preparation of secretary’s certificates and written consents.
  • Managing U.S. state qualifications or registrations for foreign jurisdictions.
  • Handling name reservations, amendments, merger documents, dissolutions, and foreign registration cancellations.
  • Ordering good standing certificates and certified formation documents.
  • Supporting transaction closings, including by leveraging iManage Closing Folders to prepare signature packets and final executed documents and client-facing closing binders.
  • Coordinating notarization and apostillization of documents.
  • Assisting in the tracking and managing of post-closing deadlines, including through the sending of calendar invites for key events.
  • Tracking post-closing collateral requirements (e.g., delivery of stock certificates, deposit account control agreements, landlord waivers, etc.).
  • Drafting release instructions for adjustment and indemnity escrow accounts and coordinating the execution of the same.
  • Preparing and submitting IRS SS-4 EIN applications.
  • Preparing and submitting SEC Form ID applications.
  • Generating SEC EDGAR filing codes.
  • Preparing and filing SEC Form D and related blue sky filings.
  • Preparing and filing UCC-1 financing statements (including collateral descriptions), and relevant UCC-3 amendments/terminations.
  • Preparing signature packets and arranging execution, including via DocuSign
  • Compiling executed documents and assembling exhibits.
  • Other tasks and responsibilities as assigned.

Qualifications:

  • Comfortable and effective in client-facing situations, demonstrating strong communication and interpersonal skills to build and maintain professional relationships.
  • Strong analytical and reasoning abilities.
  • Strong written and verbal communication skills.
  • Excellent organizational skills and strong attention to detail.
  • Proactive and able to efficiently handle multiple projects and client matters simultaneously.
  • Ability to work independently and as part of a team with members across multiple offices in a fast-paced environment.
  • Flexible and able to multi-task, balancing priorities and tight deadlines.
  • Ability to work overtime as needed.
 
Experience:
  • Bachelor’s Degree required.
  • Minimum 10 years of relevant experience in AmLaw 100 law firm.
  • Paralegal certificate from an ABA-approved program preferred.
  • Notary preferred.
  • Experience with Carta software strongly preferred.
  • Proficient with Microsoft Word, Excel, Outlook and Adobe.

Compensation & Benefits:

The annual compensation range for this position is $150K–$200K. The salary offered within this range will depend upon qualifications and other operational considerations.
